1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Headquarters Digital Marketing LLC ("HQDM," "Company," "we," "us," or "our") concerning your access to and use of the HQDM platform and services (the "Service") accessible at https://hqdm.ai and https://app.hqdm.ai.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.


2. Description of Service

HQDM is an AI-powered business communication and marketing automation platform that provides:

  • Email Campaign Management: Tools to create, manage, and send email marketing campaigns
  • Email Delivery via SendGrid: Outbound email campaigns are delivered through SendGrid, a trusted transactional email provider
  • AI-Powered SMS Communications: Automated and conversational SMS messaging using AI agents, delivered via A2P 10DLC registered numbers
  • Google Authentication: Sign-in with Google using your Google account for authentication and account management
  • Lead Management: AI-powered lead qualification and management
  • CRM Integration: Optional integration with third-party CRM systems (e.g., GoHighLevel)
  • Analytics and Reporting: Campaign performance tracking and analytics
  • Contact Management: Tools to organize and manage your contact lists

2.1 Google API Services

Our Service uses Google API Services for authentication (sign-in with Google). By using our Service, you also agree to be bound by the Google API Services User Data Policy, including the Limited Use requirements.

2.2 Service Modifications

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.


3. User Accounts and Registration

3.1 Account Creation

To use the Service, you must:

  • Be at least 18 years of age
  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Accept all risks of unauthorized access to your account

3.2 Google Account Connection

To use HQDM, you must sign in with a valid Google account:

  • You must have authorization to use the Google account you connect
  • You are responsible for all activities conducted under your account
  • We will access your Google account only as described in our Privacy Policy
  • You may disconnect your Google account at any time from your account settings

3.3 Account Responsibility

You are responsible for:

  • All activities that occur under your account
  • Maintaining the confidentiality of your account password
  • Notifying us immediately of any unauthorized use of your account
  • Ensuring that your use of the Service complies with all applicable laws and regulations

3.4 Account Termination by User

You may terminate your account at any time by:

  • Contacting us at dev@hqdm.io
  • Following the account deletion process in your account settings

Upon termination, your right to use the Service will immediately cease.


4. Acceptable Use Policy

4.1 Permitted Uses

You may use the Service only for lawful purposes and in accordance with these Terms. Specifically, you may use the Service to:

  • Send legitimate business communications to contacts who have consented to receive them
  • Manage customer relationships and sales outreach
  • Track and analyze email campaign performance
  • Automate follow-up communications with leads and customers

4.2 Prohibited Uses

You agree NOT to use the Service to:

Spam and Unsolicited Communications:

  • Send unsolicited commercial email (spam) to recipients who have not opted in
  • Send emails to purchased, rented, or scraped email lists without proper consent
  • Continue sending emails to recipients who have opted out or unsubscribed
  • Use deceptive subject lines or header information
  • Send emails without a clear and functional unsubscribe mechanism

Illegal Activities:

  • Violate any local, state, national, or international law or regulation
  • Transmit or distribute viruses, malware, or other malicious code
  • Engage in phishing, fraud, or identity theft
  • Promote illegal products, services, or activities

Abusive Behavior:

  • Harass, threaten, or intimidate any person or entity
  • Send hateful, discriminatory, or offensive content
  • Impersonate any person or entity or misrepresent your affiliation
  • Interfere with or disrupt the Service or servers/networks connected to the Service

SMS and Communication Channel Abuse:

  • Send SMS messages to recipients who have not provided prior express written consent
  • Continue sending SMS after a recipient has replied STOP or otherwise opted out
  • Send SMS content that violates CTIA guidelines (SHAFT: sex, hate, alcohol, firearms, tobacco) without proper age gating and compliance
  • Use multiple phone numbers or accounts to circumvent A2P 10DLC rate limits or carrier filtering
  • Share, sell, or transfer SMS opt-in data or mobile phone numbers to third parties for marketing purposes
  • Use the SMS feature for purposes not disclosed to recipients at the time of opt-in

Intellectual Property Violations:

  • Infringe upon the intellectual property rights of others
  • Use the Service to distribute copyrighted material without authorization

System Abuse:

  • Attempt to gain unauthorized access to any portion of the Service
  • Probe, scan, or test the vulnerability of the Service or breach security measures
  • Reverse engineer, decompile, or disassemble any portion of the Service
  • Use any automated system (bots, scrapers) to access the Service without permission

4.3 Monitoring and Enforcement

We reserve the right to:

  • Monitor your use of the Service for compliance with these Terms
  • Investigate suspected violations of these Terms
  • Remove or disable access to any content that violates these Terms
  • Report suspected illegal activity to law enforcement authorities
  • Cooperate with law enforcement agencies in investigating violations

4.4 No Liability for Third-Party Actions

We are not responsible for the content, accuracy, or legality of emails you send through the Service. You are solely responsible for your use of the Service and the content you transmit.


5. Email Marketing Compliance

You must comply with all applicable email marketing laws including CAN-SPAM (US), GDPR (EU), CASL (Canada), and other jurisdictions where your recipients are located. This includes obtaining proper consent, providing unsubscribe mechanisms, including physical addresses, and honoring opt-out requests promptly.

Important: Violations can result in significant penalties (up to $53,088 per email under CAN-SPAM). You are solely responsible for compliance and any resulting fines.


6. SMS Terms and Conditions

The following terms apply specifically to SMS text message communications sent by or through the HQDM platform. By enabling SMS features or permitting HQDM to send SMS messages on your behalf to your contacts, you agree to these terms.

6.1 Program Description

HQDM operates an AI-powered SMS communication program that enables businesses to send automated and conversational text messages to their opted-in contacts. Messages may include marketing communications, lead follow-ups, appointment reminders, business notifications, and AI-generated conversational responses — depending on how you configure your account.

6.2 Opt-In Consent

SMS messages will only be sent to contacts who have provided prior express written consent. You, as the HQDM account holder, are solely responsible for:

  • Obtaining valid opt-in consent from each recipient before initiating SMS contact through HQDM
  • Maintaining documented proof of consent (date, time, method, and opt-in language displayed)
  • Ensuring that the opt-in call-to-action accurately describes the nature and frequency of messages recipients will receive
  • Ensuring consent is specific to your business and not transferred or shared with other companies

6.3 Message Frequency

Message frequency varies based on account activity, campaign configuration, and recipient interactions with AI agents. Recipients will be informed of expected message frequency at the time of opt-in. You may configure and control message frequency through your HQDM account settings.

6.4 Costs and Carrier Disclaimer

Message and data rates may apply for any messages sent to or received from HQDM on behalf of your account. Standard carrier messaging rates apply depending on the recipient's mobile plan.

Carriers are not liable for delayed or undelivered messages. Message delivery is subject to carrier availability, network conditions, and A2P filtering rules.

6.5 Opt-Out Instructions

Recipients may opt out of SMS communications at any time using the following methods:

  • Reply STOP — to immediately unsubscribe from all SMS messages. A single opt-out confirmation will be sent; no further messages will follow.
  • Also accepted: UNSUBSCRIBE, CANCEL, END, QUIT
  • Opt-outs are honored immediately and the number is permanently suppressed from future campaigns in your account

6.6 Help and Support

Recipients may reply HELP to any SMS message to receive support information. For additional assistance, recipients may contact us at dev@hqdm.io or visit https://hqdm.ai.

6.7 Your Responsibilities as Account Holder

You, as the HQDM account holder using the SMS feature, are solely responsible for:

  • Compliance with the Telephone Consumer Protection Act (TCPA) and all applicable federal, state, and carrier regulations
  • Compliance with CTIA Messaging Principles and Best Practices
  • Ensuring message content does not violate SHAFT guidelines or any applicable law
  • Maintaining accurate opt-in records and honoring opt-out requests immediately
  • Any fines, penalties, or legal claims arising from your SMS campaigns

7. Google Authentication and Email Delivery

When you sign in with Google, you grant HQDM permission to use your account for authentication purposes only. Email campaigns are delivered through SendGrid. Our use of Google account data adheres to Google's API Services User Data Policy, including Limited Use requirements. You may revoke access at any time.

8. Third-Party Integrations

The Service may integrate with third-party services such as GoHighLevel, OpenAI/Anthropic, SendGrid, and payment processors. Your use of these integrations is subject to their respective terms and conditions.

9. Intellectual Property Rights

The Service and its content are owned by Headquarters Digital Marketing LLC. You retain ownership of content you create, but grant us a license to use it for providing the Service. HQDM trademarks may not be used without permission.

10. Payment Terms

The Service is offered on a subscription basis. Fees are billed in advance and are non-refundable except for our 30-day money-back guarantee for first-time subscribers. Subscriptions automatically renew unless cancelled.

11. Account Suspension and Termination

Either party may terminate your account. We may suspend or terminate immediately for violations of these Terms, non-payment, service abuse, or legal requirements. No refunds are provided for terminations due to Terms violations.

12. Privacy and Data Protection

Your use of the Service is governed by our Privacy Policy. While we implement reasonable security measures, we cannot guarantee absolute security. You are responsible for complying with applicable data protection laws, including TCPA for SMS communications.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. We disclaim all warranties including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee email or SMS deliverability, carrier availability, Google service availability, or AI-generated content accuracy.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HQDM is not liable for indirect, incidental, special, consequential, or punitive damages. Our total liability shall not exceed the greater of $100 USD or the amount you paid in the 12 months preceding the claim.

15. Indemnification

You agree to indemnify and hold harmless HQDM from claims arising from your use of the Service, violation of these Terms, violation of laws, emails or SMS messages you send through the Service, or any TCPA/CTIA compliance failures resulting from your use of the SMS feature.

16. Dispute Resolution

These Terms are governed by Florida law. Disputes must be brought in Palm Beach County, Florida courts. Any claims must be filed within one year. Class action participation is waived.

17. General Provisions

These Terms constitute the entire agreement between you and HQDM. We may modify these Terms with notice. Provisions regarding severability, assignment, force majeure, and electronic communications apply.
